Joint Legal Consensus Finds No Barrier to Civic Center Sale
In a formal opinion submitted to the Board of Selectmen, Town Counsel Justin C. Barton determined that there is no legal impediment preventing the town from selling the Civic Center property to Norwood Hospital.
Barton’s written opinion reached this conclusion after a joint consultation with Wilson D. Rogers, attorney for Norwood Hospital, and Charles L. Donahue, special legal counsel for the town. The statement serves as a clarification of a prior opinion in which Barton had outlined potential legal hurdles surrounding the transaction.
Veterans’ Memorial Trust Issue Resolved; Referendum Question Outstanding
A central focus of the legal review involved the origins of the Civic Center’s addition, which was constructed using $118,200 from the Veterans’ Fund alongside $258,400 in general town funds.
Barton pointed out that because of these funding sources, “…the possibility exists that the addition has been impressed with a trust in the nature of a memorial to veterans of World War II.” However, all three participating attorneys agreed that such a memorial trust could be legally replaced or satisfied by establishing an equivalent substitute.
Additionally, the legal team concurred that a formal vote by the Representative Town Meeting is legally sufficient to execute and consummate the sale. However, hospital counsel Wilson D. Rogers has requested further confirmation to guarantee that a town-wide referendum will not be required to finalize the transfer.
Conflict-of-Interest Inquiry on West School Property Bid Deemed Moot
In a separate legal opinion issued to town officials, Barton addressed the propriety of a real estate bid submitted for the old West School property by William C. Phipps, a sitting member of the Finance Commission (FinCom).
Barton advised that a Finance Commission member should not enter into a contractual agreement with the town without first providing proper formal notice to the commission, noting that failure to do so renders any resulting bid voidable by the municipality. However, Barton concluded that in this specific case, because Phipps’ bid was neither the winning submission nor the highest offer received by the town, “the question is moot.”
